There is no template for the Memorandum of Agreement between a non-county entity and a county. In general, a Memorandum of Agreement is a binding written agreement between two parties. Here, the Memorandum of Agreement will document the specific terms by and between a non-county entity and a county in which the infrastructure project is located to complete the agreed upon infrastructure project. The terms and format for this agreement should be determined by and between the non-county entity and the county. Each party typically will negotiate and review the Memorandum of Agreement using independent legal and tax counsel as each has deemed appropriate. The Memorandum of Agreement must be fully executed and binding on all parties thereto and submitted to DSH at the time of the non-county entity’s submittal of its proposal to DSH.
